Proofkit Terms of Service

These terms govern your use of Proofkit ("the Service"), provided by Affect Inc. ("we", "us").
By installing or using the Service you agree to them.

1. What the Service is

The Service is a tool that helps you check writing for inconsistent spellings, typos and breaches of a client's style rules.
It consists of:

Neither has a server of ours behind it; both run on your own machine.
What information is handled is set out in the Privacy Policy.

2. Licence

Provided you keep to these terms, we grant you a non-exclusive right to use the Service. That right
cannot be transferred to anyone else.

• The paid version is a one-time purchase. It is not a monthly or yearly subscription
• There is a limit on how many devices one licence key can activate (currently 5).
  The limit is set for one person using their own several machines
• A licence key is for you. It may not be shared, lent, given away or resold

3. Price, payment and refunds

• What the free and paid versions include, and the price, are published on the pricing section
• Payment is handled by Polar Software Inc. (polar.sh), which sells the Service as the Merchant of Record.
  Payment, receipts and refunds follow their terms and refund policy
• We never receive your card details or other payment information
• The cost of AI proofreading is not included. As set out in section 7, you pay for that yourself

4. Your responsibility

• The Service assists with checking. It does not guarantee that every problem is found or that every finding is correct.
  You remain responsible for the final check on anything you deliver
• Changes to your text — a bulk apply, for example — happen because you chose to run them.
  A backup of the text from just before, and a way to undo, are provided; reviewing the result is up to you
• If you use the Service for paid work, please satisfy yourself that doing so does not breach your
  contract with your client or any duty of confidence you owe them

5. What you may not do

• Redistribute, sell or lend copies of the Service
• Share, transfer or resell a licence key, or obtain the paid features by any other improper means
• Decompile, disassemble or reverse engineer the Service, except where law permits it
• Use the Service to break the law or to infringe anyone else's rights
• Place an unreasonable load on our servers or anyone else's

We may invalidate the licence of anyone who does these things.

6. Intellectual property

Copyright and other rights in the Service, its documentation and its dictionary data belong to us.
Rights in the text you put into the Service stay with you (or with whoever properly holds them).
We acquire nothing in it, and we neither read nor store it.

7. AI proofreading and outside services

AI proofreading runs by sending your text directly to the AI service you chose, using the API key you
set up yourself.

• Choosing the destination, looking after the API key, and paying whatever it costs are yours to do
• Text you send is handled under the terms and privacy policy of that AI service. Please read them first
• The traffic does not pass through us and we never receive its contents. We are not responsible if
  an outside service goes down, changes how it works, or changes its prices
• If you choose a model on your own machine, such as Ollama or LM Studio, the text never leaves it

Source URL formatting works the same way: it fetches the page at the URL you pasted, directly.

8. No warranty

The Service is provided as it is.
We do not warrant that it fits any particular purpose of yours, that it finds every error, or that it runs without interruption.

A change to a browser, an editor or an outside service may stop part of it from working.

9. Limit of liability

Where we are at fault and you suffer loss, our liability is limited to the amount you paid for the Service,
and to ordinary loss actually suffered.
We are not liable for lost profit, lost business or other loss arising from circumstances particular to you.

However, this limit does not apply where we acted deliberately or with gross negligence,
or where the limit is not permitted by the law that applies to you.

10. Changes to, and the end of, the Service

We may change the Service as we improve it. If we stop providing it, we will say so in advance on this
page and in the extension's help.

A feature you have already bought as part of the paid version will not later be moved behind a purchase you have not made,
nor taken from you.

11. Changes to these terms

We may revise these terms as the law or the Service changes.
A revision is published on this page and the date at the top is updated.
Significant changes that disadvantage you are also announced in the extension's help.

12. Governing law and jurisdiction

These terms are governed by the law of Japan.
Any dispute between you and us about the Service is submitted to the Yokohama District Court as the court of first instance, by exclusive agreement.
